Our corporate client in the Pembroke, Massachusetts area is seeking a talented Contracts Attorney to join its legal team on a temporary-to-potential permanent basis. This is an excellent opportunity for an attorney who enjoys negotiating complex commercial agreements, partnering with business leaders, and providing practical legal guidance that drives business success.

The ideal candidate will bring strong contract negotiation skills, sound legal judgment, and the ability to effectively balance risk management with business objectives.

Key Responsibilities

  • Review, prioritize, and manage a high volume of incoming customer and vendor contract requests based on business needs, deal timelines, and risk exposure.
  • Draft, review, revise, and negotiate a broad range of commercial agreements, with a primary focus on customer-facing contracts and high-value transactions.
  • Identify legal, financial, and operational risks within agreements and recommend practical solutions aligned with company policies and objectives.
  • Collaborate closely with internal stakeholders across Sales, Operations, Finance, and other business functions to understand commercial goals and provide timely legal guidance.
  • Lead contract negotiations with customers, vendors, opposing counsel, and other third parties to resolve red lines and facilitate successful execution of agreements.
  • Manage multiple contract negotiations simultaneously while responding to evolving business priorities and tight deadlines.
  • Assist in the development, implementation, and improvement of contract review policies, procedures, and best practices.
  • Provide advice regarding bid and contract disputes, draft related correspondence, and help business teams structure agreements to minimize risk.
  • Counsel business leaders on the potential legal and commercial impact of proposed contractual terms.
  • Monitor changes in applicable laws, regulations, and industry practices, and recommend updates to standard contract templates and processes as needed.
  • Conduct contract-related training for internal personnel and provide guidance on contract management procedures and best practices.
  • Maintain accurate contract records, negotiation history, and documentation within the contract management system.
  • Support additional legal and compliance initiatives as assigned.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar admission required; Massachusetts Bar admission strongly preferred.
  • Approximately 3-10 years of relevant legal experience in commercial contracting, corporate law, or a related practice area.
  • Demonstrated experience drafting, reviewing, and negotiating complex customer and vendor agreements.
  • Strong understanding of contract risk assessment and mitigation strategies.
  • Excellent written, verbal, negotiation, and interpersonal communication skills.
  • Ability to effectively interact with attorneys, executives, and business stakeholders at all levels.
  • Highly organized with exceptional attention to detail and the ability to manage competing priorities.
  • Comfortable working independently with limited supervision.
  • Proficiency with Microsoft Office applications, including Word, Excel, and Outlook.
  • Experience with contract lifecycle management systems is a plus.
